1. INTRODUCTION
Thank you for choosing Amuse (“Amuse”, “we”, “us”, “our”). By signing up to or otherwise using the Amuse service(s), including any platform(s), mobile app(s), website(s), or software application(s) (the “Amuse Service(s)”), you are entering into a binding contract with Amuseio AB, a Swedish based company with registered address at Kammakargatan 48, 111 60 Stockholm, Swedish registration number 559036-7016 and VAT number SE559036701601.
These subscription & services terms of use (“Subscription Terms of Use”) govern your purchase of, access to and use of our subscription plans Artist, Artist Plus and Professional, whether obtained through purchase, free trial or otherwise made available to you (each, a “Subscription” and collectively, “Subscriptions””), including all related services, features, and tools provided or offered for purchase under or in connection to such plans.
Your agreement with us includes these Subscription Terms of Use, our Terms of Use, our Privacy Policy, and any additional terms that may apply to your interaction with the Amuse Service(s) including any changes made from time to time (collectively the “Agreements”). Please read all documents carefully. By signing up to or otherwise using the Amuse Service(s), you confirm that you have read, understood and agreed to be bound by the Agreements in their entirety. If you do not agree to or cannot otherwise comply with the Agreements, you must not sign up to, access or otherwise use the Amuse Service(s).
All capitalized terms used but not defined herein shall have the respective meanings set forth in the Terms of Use.
2. SUBSCRIPTIONS
2.1 General
Access
When paying for a Subscription, you do so on a yearly basis. As soon as we have received your payment, your purchased plan will immediately be made available to you via your Amuse Account, unless otherwise expressly stated. You can purchase Subscriptions through our website or in-app on iOS and Android, by logging in to your Amuse Account or creating one.
Automatic Renewal
Unless otherwise stated, your Subscription will automatically renew for consecutive periods of the same duration as the initial period, and your chosen method of payment will be charged accordingly, until you fail to pay the renewal fee or you or Amuse terminates or cancels your Subscription. Should your Subscription not renew, please refer to section 4.4 “Termination” below for further details.
Switching Plans
If you upgrade to a higher-level Subscription while your current Subscription is still active, the upgrade will take effect as soon as we receive your payment. If you downgrade to a lower-level Subscription, the change will take effect once your current Subscription ends. Downgrading may result in the loss of access to features and functionality included in your previous plan. If your new plan allows for fewer artist profiles than your previous plan, you’ll be required to choose which artist(s) you want to continue releasing under.
Managing your Subscription
To manage or cancel your Subscription, you must do so through the same platform you used to purchase it.
If you subscribed via our website, you’ll need to manage and cancel your Subscription through the website.
If you subscribed in-app via iOS or Android, you must manage and cancel your Subscription through your Apple App Store or Google Play account.
If you cancel your Subscription, you will be informed of the date it ends. Please note that cancelling may result in the removal of your Recordings and Materials from all Stores, as well as loss of access to some or all features, information, content or functionality associated with your current plan. In addition, commissions may be charged. For more information, see section 4.4 “Termination” below.Free trialsIf you have been granted access to a Subscription free of charge, your access to and use of the Subscription is subject to the Agreements, including these Subscription Terms of Use. The duration of such free usage is determined at our sole discretion. Unless you purchase a Subscription at the end of the free usage period, your Recordings and Materials may be removed from all Stores, and you may lose access to some or all features, information, content or functionality associated with your current plan. In addition, commissions may be charged. For more information, see section 4.4 “Termination” below.
Changes
Notwithstanding anything to the contrary, all aspects of Subscriptions and their features, including but not limited to eligibility, delivery timelines, availability, pricing and payment terms, are determined in our sole discretion and may be changed, suspended or discontinued at any time with or without notice. Access to features may be subject to availability, technical limitations, additional terms and third-party conditions. We do not guarantee the availability, functionality, performance or continued inclusion of any feature in any Subscription.
Features Marked as “Coming Soon”
Certain features or functionalities of the Subscriptions may be labeled as “coming soon” or otherwise indicated as not yet available. These features are not currently part of the Subscriptions and may be subject to change, delay or cancellation at our sole discretion. We make no guarantees regarding the availability, performance or specific launch dates of such features. Use of any newly released features will be subject to the Agreements.
2.2 Artist, Artist Plus and Professional - Features
Multiple artist profiles
Access to the ability to release music under multiple artist profiles is determined by your Subscription plan:
Artist: includes 1 artist profile
Artist Plus: includes 2 artist profiles
Professional: available in multiple tiers, starting from 3 artist profiles and upwards, depending on the plan selected at the time of purchase.
The number of artist profiles you may create, manage, and release music under is determined solely by us and may be modified or restricted at our discretion, with or without prior notice. Your applicable profile limit will be specified at the time of purchase. While we reserve the right to make changes, any modifications to artist profile limits will not take effect until the end of your current pre-paid Subscription term. We will use reasonable efforts to notify you of any material changes. You are solely responsible for obtaining all necessary rights and permissions for each artist represented under your account, and for ensuring that each artist profile is used lawfully and in accordance with the Agreements.If you switch Subscription plans, please refer to Section 2.1, specifically the “Switching Plans” subsection, for details on how this may affect your artist profiles.
Release ASAP and Scheduled Releases
Our “Release ASAP” feature allows your release to be delivered to Stores as soon as it has been reviewed and approved by us.
Alternatively, depending on your Subscription plan, you may choose to schedule your release, with the earliest possible dates as follows:
Artist: 14 days from submission or later
Artist Pro: 10 days from submission or later
Professional: 7 days from submission or later
These timelines are conditional on your submission, at the time of scheduling, of all required information, including accurate and complete metadata and other necessary assets. They are also subject to our review and approval of the release, which we may grant or withhold in our sole discretion. We will use reasonable efforts to review and deliver approved releases by the selected release date. However, approval is not guaranteed, and if your release is not approved, it may not go live as scheduled. We disclaim liability for any delays caused by late, incomplete, or inaccurate submission of required information and for any consequences arising from our decision not to approve a release. We will use reasonable efforts to notify you if your release is not approved.Please also note that final delivery timelines are determined solely by the Stores and may vary. While we will use reasonable efforts to inform you of any known or expected delays caused by the Stores schedules, we do not control such timelines and disclaim all liability relating to the timing of release by the Stores. Any failure to release your Recordings as requested, including on a selected release date, shall not be deemed a breach of these Subscription Terms of Use. Any release submitted before you purchased a Subscription will not be eligible for the ASAP release or scheduled release features.
Support
We provide support services based on your current Subscription plan. Active Subscribers receive priority over non-subscribed users. Support priority among subscribers is structured as follows:
Artist: Priority over non-subscribed users. No guaranteed response time.
Artist Pro: Higher priority than Artist. No guaranteed response time.
Professional: Highest priority. We will use reasonable efforts to respond to eligible support inquiries within 24 hours.
Support requests must be submitted through the dedicated contact options provided by us, using the email address associated with your Subscription and must include all required information. Failure to comply with these requirements may result in delayed response times, loss of support priority or the unavailability of support.All stated response times refer to the initial response only and are not guarantees of resolution within that period. We make no representations or warranties regarding the time needed to fully resolve any issue but will use reasonable efforts to assist you as soon possible, subject to operational constraints. Response times may be longer on weekends or public holidays.
Stores
With an active Subscription, you may request delivery of your Recordings to various digital Stores and platforms, including but not limited to Meta and Instagram. Such delivery is subject to the sole discretion of us and the respective Stores as well as each platform’s applicable policies. We reserve the right to modify, limit, suspend or discontinue delivery options for your Recordings at any time without prior notice or liability. This includes, without limitation, our ability to prevent new deliveries or remove your Recordings from Stores at our sole discretion and for any reason. Amuse provides no guarantee regarding the availability, functionality, performance, distribution or use of your Recordings, Materials or Metadata by any Store or platform. We accept no liability if your content is not made available in a particular Store, or if it is removed from any Store for any reason whatsoever. Furthermore, we accept no liability for any interruptions, delays, errors, or suspensions of access, reports, or payouts by the Stores, whether in whole or in part, or for any issues arising from their actions, omissions or policies.Any eligibility for Store-related benefits, including without limitation Spotify verification or a YouTube Official Artist Channel, is subject to the applicable Store’s policies and is granted at their sole discretion.
YouTube Content ID
YouTube Content ID is offered as a feature under the Subscriptions, subject to eligibility. Access is not guaranteed and is determined solely by YouTube, based on its own terms, policies, and discretion. Amuse is not responsible for any decisions made by YouTube, including rejections, removals, or findings that your content violates their rules. If you have an Artist Subscription, a 15% Content ID Commission will be deducted from any Royalties you receive via YouTube Content ID. For more details, see our Terms of Use.
Royalty Splits
With an active Subscription, you may assign a percentage of Royalties from a Recording to other Amuse users and receive royalty shares from other users’ Recordings, as set by the Recording owner. Royalty splits can be created and edited for both new and previously released Recordings. To take effect, all invited users must accept and confirm their split allocations. Splits will apply to Royalties reported from the same month the confirmation is received.For new Recordings, all invited users must confirm their splits no later than the release date. If any split remains unconfirmed, that share will be automatically removed and reassigned to the Recording owner on the relevant Amuse Account. If you have an Artist Subscription and split earnings from a Recording with others, a Split Commission of 15% will be deducted from your share, regardless of when the split was created. For more information about commissions, see section 4.4 “Termination”.
We reserve the right, at our discretion, to delay, reject, or reverse any Royalty split that is incomplete, incorrect, or that may result in technical, operational or legal issues.
Automated Advances
If you have an active Subscription, you may, at our sole discretion, be considered for automated, data-calculated royalty advances. Eligibility, availability and any offers inclduing the terms of such offers are determined solely by us and may be modified or withdrawn at any time without notice. Additional terms apply.
2.3 Artist Plus and Professional - Additional Features
Store Sync
The Add-On Service Store Sync is included with Artist Plus and Professional plans at no extra charge. For further details about Store Sync, see section 3.
Fan E-mail Collection
Fan e-mail collection enables you to collect fan e-mail addresses through pre-save links for fan engagement purposes. The feature is optional and must be actively enabled by you. Information is provided directly by the fans, and we make no guarantees regarding its accuracy, completeness or availability. You are solely responsible for ensuring that any collection, storage, and use of personal data complies with all applicable data protection laws and regulations. Use of this feature may be subject to additional terms. For more information, see our end user privacy policy.
High-Resolution Audio Distribution
High-resolution audio distribution enables delivery of audio files in resolutions of up to 24-bit / 192 kHz, to selected Stores, subject to technical, operational and other limitations imposed by each Store. Availability may vary, and where not supported, files may be transcoded to standard-quality formats. We do not guarantee delivery of High-Resolution Audio to any specific Store.
Release Artwork Generator
The artwork generator enables you to create images based on text prompts. Use of this feature is subject to limitations and additional terms. For more information, see Artwork Generator Terms & Conditions.
2.4 Professional - Exclusive Features
Multiple logins
The multiple logins feature enables you to grant your team members access to your Amuse Account or specific releases. You may add up to 20 team members to an artist account. When inviting a team member, you must provide all required contact information and assign an appropriate permission level, which determines their access rights and functional capabilities. Certain permission levels may require the invitee to have a specific type of Subscription in order to access or use the feature.You are solely responsible for the selection, oversight, and management of all team members associated with your account. You accept full responsibility for all actions performed by your team members and acknowledge that we bear no liability for any activity, misuse, or unauthorized conduct resulting from the access you have granted. For more details regarding the feature, please refer to our help article.
Custom Labels
The custom label feature allows you to release music under a personalized label name instead of a default label as per our policies. All custom labels must comply with any naming policies. We may review, modify, reject or remove any label name at our sole discretion, including in cases of suspected infringement, impersonation or policy violations. You are solely responsible for any custom label names used under your account and for ensuring they do not infringe third-Party rights or beach applicable laws.
3. ADD-ON SERVICES
General
When you have a Subscription, Amuse may in its sole discretion offer you certain add-on services for purchase (“each, an “Add-On Service” and collectively, “Add-On Services”). Such services may be accessible through our website and/or in-app on iOS and Android (as determined by Amuse at its own discretion), by logging in to your Amuse Account. You agree that as soon as you have paid for an Add-on Service and the payment has reached Amuse, the Add-on Service will immediately be made available to you via your Amuse Account, unless otherwise expressly stated.
Store Sync
Store Sync enables you to have a release automatically delivered to new Stores. Store sync is available only if you have an active Subscription. If you have an Artist Subscription, Store Sync is offered for a one-time fee per release. Artist Plus and Professional Subscribers may access Store Sync without additional fees. Store Sync is not available for releases that we have not yet approved for release to Stores. You may only purchase Store Sync for releases uploaded via your Amuse Account. Amuse determines in its sole discretion which Stores to include under Store Sync and reserves the right to exclude any Stores for any reason. Such excluded Stores may include without limitation Stores that are part of an exclusive offering and Stores that are made available subject to additional payment.
If you purchase Store Sync as an Add-On Service to your Artist Subscription, the feature will be activated as soon as we receive your payment, for the specific release it is purchased for. Amuse and the Stores determine in their sole discretion when to add new Stores and when such Recording(s) are to be delivered to new Stores. If your Subscription (including Artist, Artist Plus, or Professional) expires or terminates for any reason, you may lose access to Store Sync.
Store Sync is made available subject to the terms and conditions of each store as well as the Agreements. You agree to not use Store Sync for any Release(s) that violate the terms and conditions of Stores and/or the Agreements and that you may lose access to the tool for such release or any release in the case of breach. Amuse makes no guarantees in regards to Store Sync and reserves the right to not deliver Release(s) to Stores including without limitation if we, in our sole discretion, determine that such Release(s), or the delivery thereof, would violate the terms and conditions of Stores, the Agreements or any applicable law. Amuse accepts no liability in connection with Store Sync including without limitation if your Recording(s), Material(s) or Metadata are not made available in a particular store or if they are removed from any Stores for any reason whatsoever. Such removal or non-delivery will not make you eligible for a refund for any Store Sync fees.
4. GENERAL
4.1 Payment
Third Party Terms
Depending on the platform you use to buy a Subscription or any Add-on Services, different third-party terms may apply in addition to the Agreements:
Google Play Store terms apply for in-app purchases made on Android devices;
iPhone, Apple Store terms apply to purchases made on iOS devices; and
The terms of the payment provider Adyen apply to purchases made on the Amuse website.
You agree to comply with all applicable third-party terms when using the Amuse Service(s). Where applicable, the relevant third party may enforce its own terms directly against you.
Payment Confirmation
Once we have received your payment, you will receive a confirmation of your purchase, and the Subscription or Add-on Service will be made available to you through your Amuse Account.
Auto-renewal: Grace Period
If an automatic renewal payment fails, for example due to an expired card, insufficient funds or incorrect billing details, you may be granted a grace period (“Grace Period”), at Amuse’s sole discretion. During this period (up to 14 days), we will attempt to charge your payment method again each day. You will continue to have access to the applicable Amuse Service during the Grace Period. If the payment is successfully completed during this time, you will be charged retroactively for the entire Grace Period. If not, your Subscription will be terminated at the end of the Grace Period, and access to the purchased service in question may be lost. For more information, see section 4.4 “Termination” below.4.2 Pricing
You’ll find the pricing for our services in the app or on the Website. Please note that pricing may vary based on your geographical location or other factors. We reserve the right to change the pricing at any time. Should a price change occur for a service you use, such change will only affect future payment(s) (if any) and will not apply to any period you have already paid for. If your purchased service includes automatic renewals, we will provide you with advance notice of any price changes, giving you sufficient time to cancel future automatic renewals should you choose to do so.
4.3 Term
The term (“Term”) of the Subscription Terms of Use will commence on the earlier of a) the date of payment; or b) the date of accessing your Subscription or Add-on Services (“Effective Date”) and continue until terminated or canceled in accordance with the Subscription Terms of Use or Terms of Use.
Amuse may, in its sole discretion, at any time during the Term, terminate your Account and/or Subscription including your access to Add-on Services if Amuse deems that your use of the Amuse Service(s), your Recordings or other content violate the Agreements, including but not limited to, uploading copyright infringed content, engaging in any illegal, forced, manipulated or fraudulent activity or if we reasonably believe that payment was made fraudulently.
4.4 Termination
Commission
If your Subscription ends for any reason, including but not limited to cancellation, termination, breach, non-payment or expiration of a free trial or usage period, commissions will apply. These include the standard 25% Commission, a 15% Split Commission (if royalty splits have been set up) and a 15% YouTube Content ID Commission on earnings generated via YouTube Content ID. Functionality
If your Subscription ends for any reason, we may:
Disable your ability to release or modify Recordings or Materials through the Amuse Service(s);
Remove your Recordings and Materials from all Stores; and
Revoke access to any features, information, content, Add-On Services purchased or functionality associated with that Subscription.
Breach and our right to terminate
Should any fraudulent, illegal or unlawful behaviour in regards to your payment be detected, Amuse reserves the right to, in its sole discretion, immediately close down your account and take down any and all Recordings and Materials. There will not be a Grace Period should you or Amuse terminate or cancel your Account, Subscription or Add-on Services.
Amuse also reserves the right, in its sole discretion, to determine if you, your use of the Amuse Service(s) or your Recordings have breached any section of the Agreements. If we find that a breach has occurred, we take such and any action we deem appropriate. We might, but are not limited to, temporarily or permanently disable or block your Account and remove any and all Recordings and/or Materials uploaded through the Amuse Service(s), withhold any Royalties attributable as well as freeze your Account and remove your access to Add-on Services, without notifying you. Should your Account be frozen, Amuse will cancel your Subscription immediately and no renewal fee will be withdrawn from you.
4.5 Refunds
You agree and specifically request that any goods or services which you purchase through Amuse will be provided immediately upon purchase and that you, unless expressly stated herein, will not have the right to withdraw from or obtain a refund for your purchase. Only when you a) purchase a Subscription or Store Sync; and b) provided that such service has not been purchased in-app on iOS, you have the right to withdraw from such purchase without any specific reason, as long as you do so within 14 days from the purchase, by providing us a clear request to exercise this right. When sending such a request, you shall provide your name, the email linked to your Amuse Account, the date of purchase as well as any other relevant information. Alternatively, you can use our standard withdrawal form, which you find here. You can send your request to refundrequest@amuse.io. Any refund will be paid out via the same method of payment that you used for the purchase. Amuse reserves the right to charge you for the part of the service that has already been provided to you prior to your exercise of the right to withdrawal, as determined by Amuse in its sole discretion. Such charge may be deducted from the refundable amount prior to payment. If you have made an in-app purchase via iOS, please note that your right of withdrawal and obtaining a refund is determined at Apple's sole discretion. Any request to exercise such a right must be issued directly to Apple. See more information here. If you withdraw from a purchase made in-app via iOS, please make sure to also cancel your Subscription with us. See more information here.
Notwithstanding the above, you specifically agree that your right of withdrawal does not apply to renewals of existing Subscriptions and that Amuse has the right to charge you automatically for renewals. You further agree that if you have received a Subscription free of charge, including without limitation as part of a trial offering, Amuse has a right to charge you automatically for such Subscription once the free period ends, provided that you have not cancelled it before it ends. If you have received a Subscription free of charge, the 14-day time frame referred to above starts when you first obtain access to the applicable Subscription. Notwithstanding anything to the contrary contained herein, we reserve the right to refuse any refund for amounts paid, if you are in breach of the Agreements. This applies regardless of when the breach occurs. Our determination of a breach and its impact on a refund is at our sole discretion. Any such breach may also lead to us suspending or ending your access to the Amuse Service(s).
Amuse may, in its sole discretion, allow you to withdraw from a purchase if Amuse is in direct violation/breach of these Subscription Terms of Use.
We are in no way liable or responsible for any third party failures.
Amuse has no liability to you, nor any obligation to provide a refund to you, in connection with internet or other service outages or failures that are caused by the actions of government authorities, other third parties or events beyond our control.
4.6 Limitations of Liability and Warranties
THE SUBSCRIPTIONS AND ADD-ON SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT EXPRESS OR IMPLIED WARRANTY OR CONDITION OF ANY KIND. AMUSE DO NOT GUARANTEE THAT ACCESS TO OR USE OF THE SITE OR AMUSE SERVICE(S) WILL BE CONTINUOUS, UNINTERRUPTED, ERROR-FREE OR SECURE. YOU AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY PROBLEMS OR DISSATISFACTION WITH THE SUBSCRIPTIONS OR ADD-ON SERVICE IS TO UNSUBSCRIBE OR CEASE YOUR USE OF SUCH SERVICE. FOR THE AVOIDANCE OF DOUBT, ANY DISCLAIMER AND LIMITATION OF LIABILITY BY AMUSE IN REGARDS TO THE AMUSE SERVICE(S) SHALL APPLY EQUALLY TO ANY SERVICES, GOODS OR CONTENT PURCHASED VIA THE AMUSE SERVICE(S).
4.7 Changes to the Agreements
Occasionally we may, in our discretion and without notice, make changes to the Agreements. It is your responsibility to check for any changes made to the Agreements. When we make material changes to the Agreements, we might provide you with prominent notice as appropriate under the circumstances, e.g., by displaying a prominent notice within the Amuse Service(s) or by sending you an email. In some cases, we might (but shall not be obligated to) notify you in advance. Your continued use of the Amuse Service(s) after the changes have been made will constitute your acceptance of the changes. Please therefore make sure you check back for any changes regularly or read any notices carefully.
4.8 Changes to the Service
We may from time to time, in our sole discretion, make changes to the Amuse Service(s). When we make material changes, we’ll do our best to notify you about them.
